Professional Demo Reel Shoot Terms and Conditions
This Agreement sets forth the terms and conditions governing your booking of a Professional Demo Reel Shoot (the “Shoot”) offered by Galloway Films, LLC dba Adria Tennor Coaching (“Company,” “we,” “us”). Please read carefully, as this document constitutes a legally binding contract between you (“Client”) and the Company. By enrolling in the Program, you agree to the terms outlined below.
1. PRICES AND PAYMENT TERMS
Professional Demo Reel Shoots are offered as a one-time service purchase and may be purchased either in full or through a deposit option, if available at checkout.
Pricing and package details (including number of scenes, shoot duration, and included deliverables) are listed on the checkout page and are incorporated into these Terms by reference. By confirming your purchase at checkout, you agree to pay all applicable fees, costs, and taxes associated with your selected package.
Clients may select from available shoot packages at the time of purchase. Current offerings may include one (1) to four (4) professionally filmed scenes with corresponding session durations and pricing as displayed at checkout.
If a deposit option is selected, the remaining balance is due on or before the scheduled shoot date unless otherwise agreed to in writing.
You represent and warrant that you have the legal right to use any credit card or other payment method provided.
It is the Client’s responsibility to ensure that their payment information remains accurate and up to date. If a payment is declined, returned, reversed, or otherwise unsuccessful, the Client will be notified and given three (3) business days to provide an alternate valid payment method. Shoot dates are not guaranteed until required payments are successfully processed. A $25 administrative fee may be charged for failed, reversed, or returned payments.
2. RETURNS, REFUNDS & CANCELLATIONS
Professional Demo Reel Shoots are scheduled services that require coordination of time, preparation, production resources, and location availability. For this reason, all purchases are subject to the following cancellation and refund policies.
All sales are final.
If the Client purchases through a deposit option, the deposit reserves preparation time and production availability and is non-refundable once processed. Deposits may be transferred one (1) time to a future shoot date, subject to availability and reasonable notice.
If the Client purchases in full, payments already processed are non-refundable except as otherwise required by law.
Shoot dates are coordinated directly between the Client and Company after purchase and are considered confirmed once agreed upon by both parties.
If the Client needs to reschedule a confirmed shoot date, written notice must be provided as soon as reasonably possible. Company will make reasonable efforts to accommodate one (1) reschedule request, subject to availability. Additional reschedule requests may be denied or subject to additional fees.
Clients may arrive late to their scheduled shoot; however, late arrival does not extend the reserved shoot time. Any delay will reduce the time available for filming and may limit the number of scenes, takes, or coverage completed during the session. Company reserves the right to conclude the session at the originally scheduled end time.
No refunds, credits, or additional shoot time will be provided for late arrivals, missed appointments, scheduling conflicts, failure to prepare materials, or technical issues on the Client’s end.
If the Client purchases optional prep coaching, prep sessions must be scheduled separately and are subject to the same general cancellation and rescheduling policies unless otherwise stated.
The Client understands and agrees that because Company personnel may be active working professionals with outside production and professional commitments, there may occasionally be circumstances requiring rescheduling due to illness, emergency, force majeure, location issues, equipment failure, or unavoidable scheduling conflicts. In such cases, Company will make reasonable efforts to reschedule in a timely manner. Client shall not be entitled to refunds solely due to Company rescheduling.
3. INTELLECTUAL PROPERTY, DELIVERABLES, PROMOTIONAL USE & FEEDBACK
All materials, processes, methods, coaching approaches, written materials, shoot plans, communications, guidance, and other content provided by Galloway Films, LLC in connection with the Professional Demo Reel Shoot (collectively, the “Company Materials”) are the sole and exclusive property of Galloway Films, LLC and its licensors and are protected by copyright, trademark, and other applicable intellectual property laws.
Purchase of a Professional Demo Reel Shoot grants Client a limited, non-transferable license to use final delivered footage and related deliverables for Client’s personal professional use, including self-promotion, portfolios, websites, social media, demo reels, submissions, auditions, and similar career-related purposes.
Client retains ownership of Client’s performance and original materials provided by Client.
Unless otherwise agreed in writing, Galloway Films, LLC retains ownership of all raw, unedited footage, behind-the-scenes materials, working files, project files, and production processes.
Founder Rate Promotional Use
Client acknowledges that the pricing offered for this Professional Demo Reel Shoot reflects special founder pricing made available in part in exchange for permission for Galloway Films, LLC to reference, display, reproduce, publish, edit, distribute, and use resulting footage, still images, behind-the-scenes content, Client testimonials, and related materials for lawful business purposes including portfolio display, website content, social media, advertising, promotional materials, educational examples, and future marketing of this or related services.
Company agrees to use reasonable professional discretion and good faith in selecting excerpts and presenting Client’s work respectfully and in a manner consistent with promoting the service.
Client additionally grants Company permission to use any reviews, comments, testimonials, feedback, or suggestions regarding the experience for marketing, promotional, educational, and business purposes.
Client should not submit confidential or proprietary information intended to remain confidential.
Client may decline promotional usage by written agreement prior to shoot; standard pricing may apply.
5. CLIENT-SELECTED MATERIALS
Client understands that Client is solely responsible for selecting and deciding whether to use any scripts, scenes, dialogue, wardrobe, props, concepts, or other materials incorporated into the Professional Demo Reel Shoot.
Galloway Films, LLC may provide creative input, coaching, or feedback regarding scene selection and execution; however, Client retains final decision-making authority regarding all selected materials and assumes responsibility for Client’s use and distribution of resulting footage.
Client agrees that Galloway Films, LLC shall not be responsible for claims, requests for removal, copyright disputes, platform restrictions, or other issues arising from Client’s selection, use, publication, distribution, or continued use of materials included in the shoot.
Client agrees to indemnify and hold harmless Galloway Films, LLC and its owners, contractors, employees, and representatives from and against claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of Client’s chosen materials or Client’s use or distribution of final footage.
6. DISCLAIMERS
Professional Demo Reel Shoots and all related services, coaching, direction, materials, communications, deliverables, and content are provided on an “as is” and “as available” basis.
Galloway Films, LLC makes no representations, warranties, or guarantees, express or implied, regarding Client satisfaction, artistic outcomes, footage performance, audience response, representation, auditions, bookings, career advancement, professional opportunities, or any other specific results arising from participation in the Professional Demo Reel Shoot.
While the service is designed to support the creation of high-quality, strategically produced acting footage and to help Client present their work professionally, Company does not guarantee any particular artistic, commercial, or career outcome.
Client acknowledges that results depend on many factors beyond Company’s control, including but not limited to Client preparation, performance, material selection, market conditions, industry trends, representation, timing, personal decisions, and external circumstances.
Any testimonials, examples, sample footage, case studies, endorsements, prior client outcomes, or promotional materials are provided for illustrative purposes only and do not constitute a promise or guarantee of future results. Individual experiences and outcomes will vary.
Company makes no guarantee that final footage will result in auditions, representation, employment, bookings, festival acceptance, increased visibility, or any other professional opportunity.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Galloway Films, LLC, its owners, employees, contractors, agents, or representatives be liable to Client or any third party for any lost profits, lost opportunities, lost business, lost income, lost data, loss of professional opportunities, costs of replacement services, or any indirect, consequential, exemplary, incidental, special, or punitive damages arising out of or relating to the Professional Demo Reel Shoot, related coaching services, deliverables, scheduling, use of footage, or this Agreement, even if Company has been advised of the possibility of such damages.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY’S TOTAL AGGREGATE LIABILITY ARISING out of or relating to the Professional Demo Reel Shoot, related services, deliverables, or this Agreement shall not exceed the total amount actually paid by Client to Company for the specific service giving rise to the claim.
Client acknowledges that participation in creative and coaching services involves subjective artistic judgment and that Company makes no guarantee regarding Client satisfaction, creative preferences, career outcomes, industry response, or commercial results.
8. SHOOT CONDUCT & PARTICIPATION GUIDELINES
Professional Demo Reel Shoots are intended to be collaborative, creative, and professional working environments. By purchasing and participating in a Professional Demo Reel Shoot, Client agrees to the following:
Professional Conduct:
Client agrees to treat Company personnel, readers, crew members, collaborators, and anyone involved in the session with professionalism and respect at all times. Harassment, abusive conduct, discriminatory behavior, or disruptive conduct will not be tolerated.
Preparedness and Participation:
Client agrees to arrive reasonably prepared for the scheduled session, including familiarity with selected material, wardrobe considerations, props (if applicable), and any agreed-upon preparation. Company will make reasonable efforts to support Client creatively regardless of preparation level but cannot guarantee completion of all planned material.
Recording and Sharing:
Client may capture and share behind-the-scenes content from the shoot for personal and professional use, provided such recording does not materially disrupt the session or interfere with production. Client agrees to respect the privacy and consent of all individuals present and may not record, photograph, or publish identifiable images, audio, or video of crew members, readers, contractors, staff, or other individuals without their knowledge and consent. Recording is not permitted in private or sensitive situations where an individual would reasonably expect privacy.
Client may use and share final delivered footage in accordance with this Agreement.
Creative Collaboration:
Client understands that Company may provide artistic direction, coaching, technical guidance, and creative recommendations during the session. Client retains final authority regarding Client’s performance and creative choices.
Safety and Session Integrity:
Company reserves the right to pause, reschedule, shorten, or terminate a session if behavior, conditions, lateness, equipment issues, location issues, or circumstances materially interfere with the ability to conduct the session safely and professionally.
Violation of these guidelines may, at Company’s sole discretion, result in cancellation or termination of the session without refund.
9. ADDITIONAL TERMS AND CONDITIONS
a. Independent Contractor
The Company is an independent contractor. Nothing in this Agreement creates any partnership, joint venture, employment, agency, or fiduciary relationship between the parties.
b. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Venue for any disputes arising under this Agreement shall lie exclusively in the state or federal courts located in Los Angeles County, California.
c. Binding Effect
This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Neither party may assign this Agreement without prior written consent, except that Company may assign this Agreement in connection with a sale, transfer, or reorganization of its business.
d. Termination
The Company is committed to providing a professional, collaborative, and respectful working environment. Company reserves the right, in its sole discretion, to pause, discontinue, reschedule, shorten, or terminate services without refund if Client: (i) materially breaches this Agreement; (ii) engages in abusive, disruptive, threatening, unsafe, harassing, discriminatory, or disrespectful conduct toward Company personnel, crew, contractors, readers, or others involved in the shoot; or (iii) materially interferes with Company’s ability to provide services safely and professionally.
e. Survival
Any provisions of this Agreement intended by their nature or context to survive termination or completion of services shall survive, including but not limited to Sections 2, 3, 5, 7, and 9.
f. Indemnification
To the fullest extent permitted by law, Client agrees to defend, indemnify, and hold harmless Galloway Films, LLC and its owners, officers, employees, contractors, and representatives from and against claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) Client’s actions, participation in the Professional Demo Reel Shoot, or breach of this Agreement; (ii) Client-selected materials; (iii) Client’s use, publication, or distribution of footage; or (iv) third-party claims arising from Client’s conduct or materials.
g. Equitable Relief
Client acknowledges that unauthorized use, reproduction, disclosure, or misuse of Company intellectual property or confidential business materials may cause irreparable harm to Company. Accordingly, Company shall be entitled to seek injunctive or equitable relief, in addition to any other remedies available at law or equity.
h. Entire Agreement
This Agreement constitutes the complete understanding between the parties regarding the Professional Demo Reel Shoot and supersedes all prior discussions, representations, understandings, and agreements, whether written or oral. No modification or waiver shall be effective unless made in writing. If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
